Position Summary:

Clark Hill, a nationally recognized Am Law 200 firm, is seeking a Mid-Level Corporate Attorney with 3 to 8 years of experience to join its Corporate Business Unit in a hybrid role based in the Atlanta office. The ideal candidate will support a broad range of corporate and transactional matters, including entity formation, M&A, private equity, venture capital, compliance, and commercial contracts.

This is an excellent opportunity for a detail-oriented, motivated attorney looking to take a lead role in client communication, negotiation, and execution of diverse business transactions.

Key Responsibilities:

Draft, review, and negotiate:

Entity formation and governance documents


Operating agreements


Merger & Acquisition agreements


Private equity and venture capital financing documents


Compliance documentation


Complex commercial agreements




Provide transactional counsel and support throughout deal lifecycles.


Collaborate with other Corporate attorneys in a dynamic and team-oriented environment.


Interact regularly with clients and opposing counsel in negotiations and strategy discussions.



Candidate Requirements:

3 to 8 years of experience practicing corporate law.


Corporate defense experience with a reputable Am Law 100/200 or similar firm.


Strong interpersonal and communication skills.


Demonstrated ability to manage multiple priorities effectively and deliver high-quality work.


Juris Doctor (JD) from an accredited law school with strong academic credentials.


Bar admission in Georgia or eligibility to obtain.


Must be authorized to work in the United States without sponsorship.
